Terms of Use

1. Acceptance and changes

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. We may modify these Terms at any time. When we do, we will revise the "Last updated" date above, and material changes will be effective upon posting or as otherwise indicated. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.

2. Definitions

• "Content" means all text, graphics, images, data, illustrations, design, and other materials made available on or through the Site.
• "Platform" means the WealthDirector wealth-management software platform and related services made available to advisors and institutions under separate written agreement.
• "You" means the individual or entity accessing or using the Site.

3. Eligibility

The Site is intended for financial professionals, institutions, and other business audiences. By using the Site, you represent that you are at least 18 years old and have the legal capacity and authority to enter into these Terms, and that your use of the Site complies with all laws that apply to you. You may not use the Site if you are barred from doing so under applicable law or any applicable sanctions or restricted-party list.

4. The Site and access by introduction

The Site provides information about WealthDirector and a means to request an introduction. Access to the Platform itself is offered to a limited number of advisory firms and institutions under separate written agreements and is not granted through the Site. Submitting an introduction request does not create any obligation on WealthDirector to provide access to the Platform or to enter into any agreement. The Platform and any services delivered through it are governed by the agreement under which they are provided, not by these Terms.

5. License to use the Site

Subject to these Terms, WealthDirector grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own informational and internal business purposes. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, frame, or commercially exploit any part of the Site or its Content without our prior written consent. All rights not expressly granted are reserved.

6. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent, deceptive, or harmful purpose;
• interfere with, disrupt, or attempt to compromise the integrity, performance, or security of the Site;
• attempt to gain unauthorized access to any part of the Site, its systems, or related networks;
• use any robot, spider, scraper, crawler, or other automated means to access, monitor, or copy the Site or its Content except as expressly permitted;
• reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site, except to the limited extent applicable law prohibits this restriction;
• collect or harvest information about other users; or
• introduce viruses, malware, or other harmful code.

We may investigate suspected violations and may suspend or terminate access to the Site at any time, with or without notice.

7. Intellectual property

The Site and its Content, and all related intellectual property rights, are owned by WealthDirector or its licensors and are protected by United States and international intellectual-property laws. WealthDirector, the WealthDirector logo, and related names and marks are trademarks of WealthDirector Inc. Nothing in these Terms grants you any right to use them without our prior written consent. Other names and marks appearing on the Site are the property of their respective owners.

Copyright complaints

We respect the intellectual-property rights of others. If you believe content on the Site infringes your copyright, please send a notice to our designated agent at legal@wealthdirector.ai that includes: your signature (electronic or physical); identification of the copyrighted work; identification of the material you believe is infringing and its location on the Site; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act on the owner's behalf. We may remove allegedly infringing material and, where appropriate, terminate access for repeat infringers.

8. Your submissions and feedback

You are responsible for any information you submit through the Site, and you represent that you have the right to submit it and that it is accurate. If you send us feedback, suggestions, or ideas about the Site or the Platform, you grant WealthDirector a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use them for any purpose without obligation or compensation to you.

9. Third-party content and links

The Site may contain links to third-party websites or resources that we do not own or control. We provide these links for convenience and do not endorse and are not responsible for the content, products, services, or practices of any third party. You access third-party sites at your own risk and subject to their terms.

10. No professional advice

The Site and its Content are provided for general informational purposes only and do not constitute investment, legal, tax, accounting, or other professional advice, an offer or solicitation, or a recommendation regarding any security, product, advisor, or strategy. WealthDirector is a technology provider and is not a registered investment adviser or broker-dealer. You should obtain advice from qualified professionals before making any financial decision. See the Important Disclosures for further detail.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and disclose information. By using the Site, you acknowledge that you have read the Privacy Policy.

14. Indemnification

You agree to defend, indemnify, and hold harmless WealthDirector and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

15. Suspension and termination

We may modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice, and may restrict or terminate your access at any time if we believe you have violated these Terms or to protect WealthDirector, its users, or others. Provisions that by their nature should survive termination — including those concerning intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of those courts. To the fullest extent permitted by law, any dispute will be brought in your individual capacity and not as part of any class or representative proceeding, and you and WealthDirector waive any right to a jury trial. Nothing in this section prevents WealthDirector from seeking injunctive or equitable relief to protect its rights.

17. Electronic communications

When you use the Site or send us information, you consent to receive communications from us electronically, including by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. It is your responsibility to keep your contact information current.

18. General provisions

Entire agreement. These Terms, together with the Privacy Policy and Important Disclosures, are the entire agreement between you and WealthDirector regarding the Site and supersede any prior understandings on that subject. They do not modify any separate written agreement governing the Platform.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a corporate transaction or otherwise.

Force majeure. We are not liable for delays or failures resulting from causes beyond our reasonable control.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and WealthDirector.

No third-party beneficiaries. Except as expressly stated, these Terms are for the benefit of you and WealthDirector only and create no rights in any other person.

Export and sanctions compliance. You represent that you are not located in, or a national or resident of, any country or region subject to U.S. embargo or sanctions, that you are not on any U.S. government restricted-party list, and that you will not use the Site in violation of applicable export-control or sanctions laws.

Headings. Section headings are for convenience only and do not affect interpretation.
